For advertising services, you are responsible for all third-party platform costs (e.g., Google Ads, Facebook Ads). We will manage these budgets on your behalf but are not liable for charges incurred on these platforms.

5. Client Responsibilities

As our client, you agree to:

• Provide accurate and timely information needed for service delivery
• Grant necessary access to accounts, platforms, and systems
• Comply with all applicable laws and platform policies
• Provide feedback and approvals within agreed timeframes
• Ensure all content and materials provided are legally compliant
• Pay all fees according to the agreed schedule

6. Intellectual Property Rights

6.1 Our Intellectual Property

All content, software, and materials on our website and in our services, including but not limited to text, graphics, logos, images, and software, are the property of Bright Meadow or our licensors and are protected by Malaysian and international copyright and trademark laws.

6.2 Client Content

You agree to indemnify and hold harmless Bright Meadow, its employees, and agents from any claims, damages, or expenses arising from:

• Your violation of any law or third-party rights
• Content or materials you provide that infringe third-party rights
• Your use of our services in a manner not authorized by these Terms

10. Termination

10.1 Termination by Either Party

Either party may terminate a service agreement with 30 days' written notice, unless otherwise specified in the service agreement.

10.2 Immediate Termination

We may immediately terminate or suspend services if you:

• Breach these Terms or any service agreement
• Fail to pay fees when due
• Engage in activities that could harm our reputation or business
• Violate platform policies that affect our ability to provide services

10.3 Effect of Termination

Upon termination:

• You remain liable for all accrued fees and expenses
• We will provide a final report and transfer of assets as specified in the service agreement
• Confidentiality obligations continue to apply

11. Warranties and Disclaimers

These Terms are governed by the laws of Malaysia, without regard to conflict of law principles.

14.2 Dispute Resolution

Any disputes arising from these Terms shall be resolved through:

1. Good faith negotiations between the parties
2. Mediation through the Malaysian Mediation Centre
3. If mediation fails, arbitration under the Arbitration Act 2005
4. The courts of Kuala Lumpur, Malaysia shall have exclusive jurisdiction

15. Modifications to Terms
